Terms of Service
Object and parties
These Terms govern access to and use of the Keishal platform ("the Platform"), owned by Artifex One Technologies, S.L. ("Artifex One"), by clinics and other professional clients ("the Client"). The Platform is intended for businesses and professionals only, not consumers. Using the Platform means accepting these Terms.
The service
Keishal is software that helps clinics communicate with their patients, operating over Meta's WhatsApp Business Cloud API and other channels.
Data protection
For patient data, the Client is the data controller and Artifex One is the processor (Art. 28 GDPR), under the data processing agreement (DPA) signed by the parties, which prevails over these Terms on data matters. The Client warrants that it has the legal basis and consents required for the communications it sends.
Meta/WhatsApp policies
The Client will comply with Meta's Platform Terms and WhatsApp's messaging policies. The Client owns its WhatsApp Business account (WABA) and number and pays Meta directly for messages and templates. Artifex One is not responsible for the availability or decisions of third-party services.
AI transparency
The Platform uses artificial intelligence; in line with Regulation (EU) 2024/1689, the agent identifies itself as an AI system. The Client will not disable this identification.
Acceptable use
The Client will not use the Platform for communications without a legal basis, unlawful content, spam, or messages to people who have opted out. Breach may lead to suspension of the service.
Commercial terms
Set out in the applicable contract or proposal. Meta/WhatsApp messaging costs are separate from the subscription.
Intellectual property
The Platform and its trademarks belong to Artifex One. The Client keeps ownership of its data.
Liability
Except in cases of wilful misconduct or gross negligence, Artifex One's liability is limited to the amounts paid by the Client and excludes indirect damages and loss of profit.
Term
The contract lasts while the subscription is active; on termination, data is returned or deleted under the DPA.
Governing law
Spanish law; courts of Barcelona.
